By accessing or using the website www.unikainfocom.in or any of our services, products, or platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions, our Privacy Policy, and any other policies posted on our website.

If you are entering into these Terms on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, please refrain from using our website and services immediately.

Unika Infocom Pvt. Ltd. provides a comprehensive range of digital and technology services. All services are delivered subject to a formal agreement, proposal, or purchase order between the parties.

• Software Development — bespoke desktop and enterprise software applications
• Mobile App Development — iOS and Android native and cross-platform applications
• CRM Software Development — custom customer relationship management tools
• Digital Marketing & SEO — online marketing, search engine optimisation, social media
• Logo & Graphic Design — brand identity, illustration, business stationery
• Enterprise IT Solutions — banking, healthcare, manufacturing, and other industry verticals

We reserve the right to modify, suspend, or discontinue any service at any time, with reasonable prior notice where practicable.

When accessing or using our website or services, you agree to the following obligations:

You Must:

• Provide accurate, current, and complete information when submitting enquiries, placing orders, or creating an account
• Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access
• Cooperate with our team by providing timely feedback, approvals, and content required to complete your project
• Comply with all applicable laws and regulations in your jurisdiction

You Must Not:

• Use our services for any unlawful, fraudulent, or malicious purpose
• Attempt to gain unauthorised access to our systems, servers, or databases
• Upload or transmit viruses, malware, or any other harmful code via our platform
• Reverse-engineer, decompile, or disassemble any software or product delivered by us
• Reproduce, redistribute, or resell our deliverables without explicit written permission

All intellectual property created by Unika Infocom Pvt. Ltd. is protected under Indian and international intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999.

Our IP (Pre-Existing & Background IP)

• All website content, design assets, code frameworks, methodologies, and tools developed or owned by us prior to or independently of a client project remain our exclusive property
• The name "Unika Infocom," our logo, and all associated branding are our registered trademarks and may not be used without written consent

Client IP (Deliverables)

• Upon receipt of full and final payment, ownership of the specific custom deliverables created exclusively for your project transfers to you, as defined in the project agreement
• We retain the right to display completed work in our portfolio and marketing materials unless expressly prohibited in writing
• Third-party components (open-source libraries, licensed stock, plugins) within deliverables remain subject to their respective third-party licences

All prices are quoted in Indian Rupees (INR) unless otherwise specified. For international clients, billing may be agreed in USD. Applicable Goods and Services Tax (GST) will be added to all invoices as required under Indian tax law.

• A non-refundable advance payment (typically 50% of project value) is required before work commences, unless otherwise agreed in writing
• Remaining balances are due as per the milestone schedule outlined in the project agreement
• Final deliverables will be released upon receipt of all outstanding payments
• Overdue invoices accrue interest at 2% per month after a 7-day grace period
• For shop purchases, our standard refund and return policy applies as stated at point of sale

Project timelines, milestones, and deliverables are agreed upon in a formal project proposal or Statement of Work (SoW). The following conditions apply to all project engagements.

• Timelines commence from the date the advance payment is received and all required client materials are provided
• Delays caused by the client — including delayed feedback, approvals, or content submission — will extend the project timeline proportionally and may incur additional charges
• Unika Infocom is not liable for delays caused by force majeure events including natural disasters, government orders, internet outages, or third-party service failures
• A standard revision allowance is included in each project phase. Excessive revisions beyond the agreed number are billable at our current hourly rate
• Hosting, domain registration, and third-party API costs are the client's responsibility unless explicitly included in the project quote

Both parties agree to maintain strict confidentiality with respect to any proprietary, technical, commercial, or business information shared during the course of the engagement ("Confidential Information").

• Confidential Information shall not be disclosed to any third party without prior written consent from the disclosing party
• Each party shall use Confidential Information solely for the purpose of fulfilling obligations under the project agreement
• Confidentiality obligations survive termination of the agreement for a period of 3 years
• These obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law

We may enter into a separate Non-Disclosure Agreement (NDA) at the client's request prior to commencement of any project.

Our services are provided on an "as is" and "as available" basis. To the fullest extent permissible under applicable law, we expressly disclaim the following:

• We do not warrant that our services will be uninterrupted, error-free, or free of harmful components
• We make no guarantees regarding specific business outcomes, search engine rankings, or revenue generation from digital services
• Third-party services, APIs, platforms, and tools integrated within our deliverables are governed by their own terms and we are not liable for their performance or availability
• Content provided by the client for inclusion in a project is the sole responsibility of the client. We do not accept liability for copyright infringement arising from client-supplied materials

To the maximum extent permitted by law, Unika Infocom Pvt. Ltd., its directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our services.

Nothing in these Terms shall exclude or limit liability for death or personal injury resulting from our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Indian law.

You agree to defend, indemnify, and hold harmless Unika Infocom Pvt. Ltd. and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms or any applicable laws or regulations
• Your use of our services in a manner that infringes the intellectual property or other rights of any third party
• Content or materials you provide to us that are unlawful, inaccurate, or infringe any third-party rights
• Any misrepresentation made by you in connection with your engagement of our services

Either party may terminate a project engagement by providing written notice. The following conditions apply upon termination:

• If the client terminates, all work completed to date is billable and the advance payment is non-refundable; any outstanding balance for work done is immediately due
• If we terminate due to client breach (including non-payment), all outstanding invoices become immediately due and we retain ownership of all work produced until payment is received in full
• We may suspend or terminate your website account or access to services immediately, without notice, if you breach these Terms
• Sections on IP, confidentiality, liability, and governing law survive any termination of agreement

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute arising out of or in connection with these Terms shall be subject to the following dispute resolution process:

• Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice
• Arbitration: If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India)
• Jurisdiction: The courts of Kolkata, West Bengal shall have exclusive jurisdiction over any matter not resolved by arbitration

Unika Infocom Pvt. Ltd. reserves the right to revise and update these Terms & Conditions at any time at our sole discretion. Changes take effect upon posting to this page.

• Material changes will be communicated via a notice on our website homepage and/or by email to registered users
• Continued use of our website or services after any amendment constitutes your acceptance of the revised Terms
• If you do not agree to the revised Terms, you must cease using our services and notify us in writing
• These Terms, together with any project-specific agreement, constitute the entire agreement between you and Unika Infocom Pvt. Ltd.
